Please read these Terms of Service (“Terms”) carefully before using the Quiant Technologies website and services. These Terms constitute a legally binding agreement between you and Quiant Technologies, Inc.
1. Acceptance of Terms
By accessing or using the Quiant Technologies website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services. These terms apply to all visitors, users, and others who access our website or engage our services.
2. Description of Services
Quiant provides AI-powered enterprise solutions, including but not limited to predictive analytics (Quiant Neural), cybersecurity (Quiant Shield), workflow automation (Quiant Flow), and computer vision (Quiant Vision). We also offer consulting, engineering, and support services as described on our website.
Specific service terms, including pricing, service level agreements, and data processing terms, are governed by separate enterprise agreements executed between Quiant and each client.
3. User Accounts and Registration
Certain features of our services may require you to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account. Quiant is not liable for any loss arising from unauthorized use of your account.
4. Intellectual Property Rights
All content, features, and functionality on the Quiant website — including text, graphics, logos, icons, images, software, and underlying technology — are the property of Quiant Technologies or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our content without prior written consent. The Quiant name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Quiant Technologies.
5. Acceptable Use
You agree not to use our services to: • Violate any applicable law, regulation, or third-party right • Transmit malicious code, viruses, or any other harmful technology • Attempt to gain unauthorized access to our systems or networks • Interfere with or disrupt the integrity or performance of our services • Engage in automated data collection (scraping) without permission • Impersonate any person or entity or misrepresent your affiliation • Use our services for competitive intelligence or benchmarking
We reserve the right to suspend or terminate access for any user who violates these terms.
6. Enterprise Service Agreements
Use of Quiant's AI products and platform services is governed by separate Enterprise Service Agreements (ESAs), which include specific terms regarding data processing, service levels, security obligations, and liability. In the event of a conflict between these Terms of Service and an applicable ESA, the ESA shall prevail.
7. Data Processing and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. For enterprise clients, data processing is additionally governed by the Data Processing Agreement (DPA) included in the ESA.
We implement industry-standard security measures to protect data in our custody. Our infrastructure is SOC 2 Type II certified, and we comply with applicable data protection regulations including GDPR and CCPA.
8. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. Quiant does not warrant that our services will be uninterrupted, error-free, or completely secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Specific warranty terms for enterprise clients are defined in the applicable ESA.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Quiant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of our services.
Our total liability for any claim arising under these terms shall not exceed the greater of $100 or the amount you paid us in the twelve months preceding the claim. This limitation applies regardless of the theory of liability.
10. Indemnification
You agree to indemnify, defend, and hold harmless Quiant, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these terms, or your violation of any third-party rights.
11. Modifications to Terms
We reserve the right to modify these terms at any time. We will notify users of material changes by posting the updated terms on our website and updating the "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
12. Governing Law and Dispute Resolution
These terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. Either party may seek injunctive relief in any court of competent jurisdiction.
